These Terms & Conditions ("Terms") govern every quotation, invoice, and electrical or solar installation service supplied by Semcon Electrical (Pty) Ltd (registration to be confirmed; trading as "Semcon Electrical", "we", "us", "our") to the customer named on the relevant quotation or invoice ("the Client", "you"). By accepting a Semcon Electrical quotation — whether by signature, electronic acceptance via the public quote link, or by paying the deposit — the Client agrees to be bound by these Terms.
These Terms are read together with the South African Consumer Protection Act 68 of 2008 ("CPA"), the Protection of Personal Information Act 4 of 2013 ("POPIA"), the Occupational Health and Safety Act 85 of 1993 and its Electrical Installation Regulations of 2009, and the wiring code SANS 10142-1. Where these Terms conflict with mandatory rights under the CPA or POPIA, the legislation prevails.
"Quote" means a written quotation issued by Semcon Electrical, whether printed or supplied via a tokenised link. "Site" means the premises identified for the work. "Works" means the electrical, solar, or related installation services and materials described in the Quote. "Business day" means any day other than a Saturday, Sunday, or South African public holiday. Headings are for convenience and do not affect interpretation. The masculine includes the feminine and the singular the plural.
Each Quote is valid for the period stated on the Quote (typically 30 days from the date of issue) and may be withdrawn or amended by Semcon Electrical at any time before acceptance. After expiry, prices and lead times are subject to confirmation. The Quote becomes a binding contract between the parties when the Client (a) accepts the Quote in writing or via the secure online acceptance link, AND (b) pays the deposit specified in clause 5.
The Works are limited to the line items expressly described in the Quote. Unless specifically listed, the price does not include:
Any change to the agreed Works — including substitution of materials, additional points or circuits, or fault-finding required by an unforeseen condition discovered during installation — must be agreed in writing (email or WhatsApp confirmation suffices). Such variations may attract additional charges quoted at our standard rates. Semcon Electrical reserves the right to suspend the Works pending the Client's written instruction to proceed with a variation.
Unless otherwise stated, a deposit equal to the percentage shown on the Quote (typically 50% of the total) is required to commence Works. The deposit secures the start date and funds the procurement of materials. The balance is payable on completion of the Works and before the Certificate of Compliance is released to the Client.
Payment must be made by EFT to the bank account shown on the Quote or invoice. The Client must use the relevant Quote or invoice number as the payment reference. Cash and card payments may be accepted by prior arrangement. Title to all materials supplied by Semcon Electrical remains with Semcon Electrical until full payment of the related invoice has been received in cleared funds. While title remains with Semcon Electrical, we reserve the right of recovery.
Invoices are payable strictly within 30 days of issue (or such shorter period stated on the invoice). Amounts not paid by the due date attract interest at 2% per month, calculated daily and compounded monthly, from the due date until the date of actual payment. Semcon Electrical reserves the right to (a) suspend any further work, (b) hand the account over for collection — in which case all reasonable legal costs, collection commission, tracing fees and disbursements (on the attorney-and-own-client scale) shall be for the Client's account; and (c) repossess unpaid materials in terms of clause 5.
If the Client cancels an accepted Quote before commencement, the deposit becomes forfeit to the extent that Semcon Electrical has already incurred costs (procurement of materials, scheduling, travel). Any balance is refunded within 14 days. If cancellation occurs after Works have commenced, the Client is liable for all materials installed and labour performed up to the date of cancellation, plus a 15% project-management charge on the unperformed portion.
The CPA cooling-off right (5 business days) applies only where the Quote was concluded as a result of direct marketing (i.e. unsolicited contact initiated by Semcon Electrical). It does not apply to quotes requested by the Client. Where the cooling-off right does apply, the Client must give written notice within the period and Semcon Electrical will refund any deposit, less reasonable costs already incurred, within 15 business days.
The Client warrants that:
Semcon Electrical is not liable for delays, additional costs, or damage caused by the Client's failure to meet these obligations.
Semcon Electrical warrants its workmanship for 12 months from the date of completion, in line with industry standard practice and the implied warranty of quality under section 56 of the CPA. The warranty covers correction of defective installation work that is not the result of misuse, tampering, third-party interference, or fair wear and tear. The warranty is void if any third party performs work on, or modifies, the installation during the warranty period.
To claim under the warranty, the Client must notify Semcon Electrical in writing within 7 days of discovering the defect. Semcon Electrical will inspect and (in its discretion) repair, replace, or refund.
Materials supplied by Semcon Electrical (inverters, batteries, panels, cables, breakers, components) carry the warranty offered by the manufacturer of the relevant item. Common warranty periods include: SunSynk hybrid inverters — 5 years; LuxPower inverters — 5 years; Hubble lithium batteries — 10 years; solar panels — 12 years product / 25 years performance; cables and consumables — 12 months. These periods are indicative only and the manufacturer's published warranty terms prevail. Manufacturer warranties are subject to the manufacturer's claim process and may exclude shipping or labour.
Where the Works fall within the scope of the Electrical Installation Regulations of 2009 and SANS 10142-1, Semcon Electrical will, on completion and full payment, issue a Certificate of Compliance (CoC) covering only the new work performed. The CoC does not certify pre-existing wiring or installations not part of the Works. If the Client requires certification of the entire installation, an additional inspection is required and will be quoted separately. The original CoC is released to the Client only after the final invoice is paid in full; a copy is retained by Semcon Electrical for our records.
Semcon Electrical carries appropriate public liability insurance covering its operations. To the maximum extent permitted by law, our total liability arising out of or in connection with any Quote, contract, or Works (whether in contract, delict, statute, or otherwise) is limited to the price paid by the Client for the specific Works giving rise to the claim. Semcon Electrical is not liable for any indirect, consequential, incidental, special, or punitive losses, including loss of profit, loss of production, loss of data, loss of opportunity, or business interruption — even where such losses were foreseeable.
Nothing in these Terms excludes or limits liability for (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot lawfully be excluded under South African law (including non-excludable rights under the CPA).
Neither party is liable for failure or delay in performing its obligations to the extent caused by circumstances beyond its reasonable control, including (without limitation) load-shedding events extending beyond their scheduled duration, supplier shortages, civil unrest, strikes, fire, flood, pandemic, war, or government action. The affected party must notify the other promptly and use reasonable efforts to mitigate.
Semcon Electrical processes the Client's personal information — including name, contact details, physical address, VAT number, banking reference, and the details of the Works — in line with POPIA, for the purposes of providing a quotation, performing the Works, invoicing, accounting, statutory record-keeping (typically 5 years for tax purposes), and limited marketing of related services. Quotations, designs, drawings, and specifications prepared by Semcon Electrical remain our intellectual property and may not be used by the Client to obtain competing quotes or be disclosed to third parties without our written consent. The Client receives a non-exclusive, royalty-free licence to use the documents solely for the Works to which they relate.
These Terms are governed by the laws of the Republic of South Africa. Any dispute that the parties cannot resolve through good-faith discussions within 14 days will be referred to mediation by a mediator agreed between the parties or, failing agreement, appointed by the chairperson of the South African Association of Mediators. If mediation fails, the dispute will be determined by the Magistrates' Court for the district of Pretoria, irrespective of the value of the claim, by agreement of the parties; provided that Semcon Electrical retains the right to issue summons in any court of competent jurisdiction. The Client consents to the jurisdiction of the Magistrates' Court.
Entire agreement. The Quote, these Terms, and any written variation comprise the entire agreement between the parties and supersede all prior representations.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
Notices. All notices must be in writing and sent to the email address shown on the Quote / invoice for the recipient party. Notices are deemed received on the next business day after sending.
Assignment. The Client may not assign or cede its rights without our prior written consent. Semcon Electrical may assign on notice to the Client.
Variation. These Terms may be amended by Semcon Electrical from time to time. The version in force on the date of the relevant Quote applies to that contract.
